Investor Portal Terms of Use
These terms apply to your use of the EagleCap investor portal at investors.eaglecapinvesting.com (the "Portal"), operated by EagleCap Legacy Wealth Partners ("EagleCap"). By using the Portal you agree to them.
1. Who may use the Portal
The Portal is available only to people EagleCap has invited: investors, co-owners of an investment, and advisors an investor has authorized. Access is personal to you. If you use the Portal for an entity or trust, you confirm you are authorized to act for it.
2. Your account and its security
- Keep your password and your authenticator device secure, and do not share them or your account with anyone.
- Two-step verification is required on every account.
- Sign in only at investors.eaglecapinvesting.com. Do not sign in through a link in an email you did not expect.
- EagleCap will never ask for your password or an authenticator code, by email, text or phone.
- If you think someone else has used your account, contact EagleCap right away at contact@eaglecapinvesting.com or (509) 308-5468. You can also sign out every other device from Account › Password and two-step.
- If you lose your authenticator device, sign in with a backup code or another device you added. If you have neither, you can request an email reset: it completes only after a 72-hour hold, and EagleCap emails every address on your account with a way to cancel it. EagleCap can also reset two-step verification after confirming your identity by phone, on a number already on file. You are told when a reset is done.
- On a device where you have entered a code, the Portal asks for your password each day and after an hour without activity, and asks for a new code after 30 days, when you sign out, or on a new device. A new code is also needed to change your sign-in or recovery email, your authenticator devices or backup codes, or a tax identification number.
3. The information in the Portal
- Statements show figures as of the date on each statement. EagleCap publishes them; they do not update in real time. Figures are unaudited unless a statement says otherwise.
- Your official tax documents are the Schedule K-1 forms provided to you. If a figure in the Portal differs from a K-1 or a signed agreement, the K-1 or the agreement controls.
- Nothing in the Portal is an offer to sell, or a request for an offer to buy, any security. Offerings are made only through their offering documents.
- The Risks and disclosures page, which you accept with these terms, applies to every offering and every figure in the Portal.
4. Advisors you authorize
If you add an advisor (for example, your CPA), they may see the statements, tax documents and position information for the investments you choose. They cannot see bank details, full tax identification numbers or addresses, and they cannot make requests or changes for you. If you share tax forms with them, they see the last four digits of the entity's tax identification number, as you do. You can remove an advisor's access yourself under Account, or ask EagleCap to.
5. Records of use
EagleCap records which Portal pages and documents you open and for how long, and when documents and statements are viewed or downloaded and from which network address. It uses these records to keep your account secure, to know which documents you have received, and to follow up with you about offerings you have looked at. The Privacy Policy explains what is recorded and how long it is kept.
6. Acceptable use
Use the Portal only for your own investments and EagleCap offerings. Do not share your sign-in, access anyone else's information, copy or forward offering materials, try to bypass or test the Portal's security, or use automated tools to collect information from it.
7. Confidentiality
Offering materials and investment information in the Portal are confidential. Use them only to consider and manage your investments with EagleCap, and share them only with your own attorney, accountant or financial advisor, in an audit or regulatory examination, or where the law requires it. Your subscription documents and each operating agreement may set further confidentiality terms, and those control.
8. No advice
EagleCap does not give investment, tax or legal advice through the Portal. Please ask your own advisors whether an investment suits you, and about your taxes.
9. The Portal is provided as is
EagleCap does not promise that the Portal will always be available or free of errors. Your signed agreements and Schedule K-1 forms are the official records. If the Portal is unavailable, you can ask EagleCap for any document directly.
10. Your rights under the securities laws
Nothing in these terms waives any right you have under federal or state securities laws, and EagleCap will not claim that it does.
EagleCap is responsible for the Portal only as far as the law allows. This does not limit any right you have under your subscription documents, an operating agreement, or federal or state securities laws.
You are responsible for loss caused by your own misuse of the Portal, or by your sharing of offering materials in breach of these terms.
11. Disputes
A dispute about an investment is between you and the company that issued it, and is resolved under that investment's subscription agreement and operating agreement, including the law and the forum they name. These terms do not add an arbitration requirement.
12. Suspending or ending access
EagleCap may suspend or end Portal access, for example to protect your account or other investors' information. Ending access does not change your investment or your rights under the operating agreement. EagleCap will then deliver your documents, including Schedule K-1 forms, by mail.
13. Changes to these terms
When these terms change, EagleCap will email you and post the new date at the top. Changes apply from that date and not to past use.
